SECURE REWARDS OFFICIAL PROGRAM RULES (“OFFICIAL RULES”)I. ELIGIBILITY:  

  1. SecureRewards (the “Program”) is available exclusively to qualified HySecurity Gate, Inc. and Nice USA dealer /installer companies (and their full time employed staff) making qualified purchases through authorized distributors , hereafter referred to as “Participant(s).” Qualified purchases are purchases made by Participants of designated products, less any taxes, fees or returns. By participating in this Program, Participating Installation Companies and their full time, Program registered staff fully and unconditionally agree to and accepts these Official Rules and the decisions of HySecurity and Augeo Marketing, which are final and binding in all matters related to the Program.

  2. SecureRewards is a business to business program that rewards dealer/installation businesses and their fulltime employed staff for qualifying purchases and other activities. Businesses who purchase HySecurity or Nice USA products through qualified HySecurity Gate, Inc. or Nice USA, are in good standing, and make purchases for eligible goods through HYSECURITY or authorized HySecurity or Nice distributors during the Program period will be awarded and are eligible to redeem Reward Points (“NicePoints”). Qualified Purchases will not be tracked unless and until Participants have completed the enrollment requirements. Subject only to the terms and conditions of any agreement governing such account, HYSECURITY Gate, Inc. or Nice USA reserves the right to determine whether Participant is in good standing and will consider such factors as, including but not limited to, non-payment, payment or other deliverable delinquency, default, breach, disputes and other claims which might impact Participant’s good standing with HYSECURITY Gate, Inc. or Nice USA with authorized HySecurity distributor.

  3. The Program’s earnings period begins July 1, 2018. All eligible participants will receive NicePoints for SecureReward program eligible purchases and activities starting the date on which their enrollment was validated by HySecurity Gate, Inc.

  4. Participant ceases to be eligible to earn Reward Points upon termination of the Program for any reason. Notice will be provided to participant that they have 60 days to redeem remaining Reward Point balance.

  5. Businesses participating in the program must designate an eligible participant to act as administrator for their program, subject to review and approval by HYSECURITY. HYSECURITY reserves the right to approve or deny the designation of a participant as administrator. This administrator will have the ability to determine which eligible participants are associated with the business’ account, to add participants to the business account, to release participants from their association with the business, and to determine how to distribute reward points accrued through the qualified purchase of products to participants associated with the business account. The administrator may also review the earning history of accounts associated with the business.

  6. Participants released from association with a business may continue to earn reward points for certain activities and to redeem points for up to 60 days. Participants are eligible to associate with other businesses during this period to continue their participation, at the discretion and approval of the business administrator. Participants not associated with a business may not accrue points from qualified purchases.

  7. HYSECURITY reserves the right to exclude certain customers or products from generating Reward Points under the Program. Only those products designated by HYSECURITY Gate, Inc. and Nice USA in its sole discretion will be deemed to be “Eligible Purchases.”

II. REWARD POINT EARNING:
  1. The Program is valid for Eligible Purchases beginning July 1, 2018 and is ongoing with points deposited monthly. The Program shall be administered through HySecurity Reward Headquarters. HYSECURITY Gate, Inc. has the right, in its sole discretion, to modify, add, or delete any of these Official Rules, benefits, or discounts, in whole or in part, at any time, with or without notice, except where prohibited by law.

  2. Each business enrolled in the Program will earn Reward Points in the business’ account for Program product purchases and activities as outlined on the “Earnings Offer” section of MySecureRewards.com (the “Site”). In addition, each participant may earn additional points through other activities as determined by HySecurity. Businesses must register at least one purchase before any points may be redeemed. Each business must designate a participant to act as program administrator to maintain their participant roster and determine the allocation of NicePoints to participants. NicePoints accumulating in the business’ account must be transferred to a participant account to be redeemed.

  3. Individual participants may earn points for certain non-sales related activities from the time they complete the registration process. Participants must be connected to a business account to accrue points from product purchases or to redeem points. The connection of an individual participant to a business account must be approved by an administrator designated by the business. If no business connection is established after 90 days, the account will be deactivated, and points forfeited.

  4. HYSECURITY reserves the right in its sole discretion to add, delete, or modify Reward Points earning products throughout the year. Should such additions or modifications occur, the revised point earning products will be communicated on the Program Site.

  5. Reward Points may only be transferred within a business to eligible fulltime participants employed by the business. Reward points for qualifying purchases accrue to the business account and may be distributed to associates of the business by an administrator authorized by the participating business. Reward point transfers made by the designated administrator may not be revoked. Reward points earned by individual participants for qualifying activities may not be transferred. The sale or barter of Reward Points is prohibited.

  6. Reward Points have no exchangeable or redeemable cash value.

  7. Any reduction in Reward Points, as determined by HYSECURITY Gate, Inc., will be noted and posted to the Participant's Point Profile and will reduce the total Reward Points available.

  8. Participant is responsible for ensuring the accuracy of his/her account and should check his/her account regularly. Participants are responsible for ensuring that the mailing address and the email address associated with their account is accurate and up to date. HYSECURITY Gate, Inc. is not responsible for non-receipt of a Reward that was shipped to the mailing address associated with a Participants account. Only the Participant to whom the account belongs may make changes to an account or account information. HYSECURITY Gate, Inc. is not responsible for any incorrect or inaccurate information supplied by any Participant participating in the Program.

  9. The accumulation of Reward Points is subject to the Program Official Rules. Each Participant is responsible for reading the Program Official Rules, newsletters, amendments, modifications, supplements and other communications however delivered in order to understand his or her rights, responsibilities, and status in the Program, as well as the structure for earning Reward Points and rewards.

  10. From time to time, HYSECURITY may conduct sweepstakes, questionnaires, contests, and other promotions for Participants. All such sweepstakes, questionnaires, contests, and other promotions shall be governed by the official rules designed by HYSECURITY Gate, Inc. Your participation in any of these constitutes your acceptance of the applicable official rules.

  11. Participating businesses can achieve various membership levels through the purchase of qualified product. Higher levels of membership qualify for additional benefits and earning potential. Participating businesses must requalify for their membership tier annually. HYSECURITY may change, at its sole discretion, the benefits and qualification requirements associated with membership levels without notice. Some membership benefits may be banked for use throughout the year. These benefits include but are not limited to special consideration of RMA requests or expedited service requests. This offer of benefits expires at the end of the calendar year and do not accrue over time.

III. TRACKING YOUR REWARD POINTS:
  1. Click on the “Point Profile” of the navigation menu to view earned Reward Points. Participant's account will be updated monthly to show Reward Points earned, in connection with Eligible Purchases

IV. REWARD POINT REDEMPTION:
  1. Reward Points may be redeemed by clicking on the Rewards category feature on the Site.

  2. Once Reward Points have been redeemed for a reward, the Reward Points cannot be converted back into Participant’s account.

  3. In the event that the point value of a desired reward item exceeds Participant’s available point balance, Participants may purchase up to 4000 Reward Points per calendar year. The price of the point purchases is as represented on the program website and may be changed at any time by HySecurity Gate, Inc. Contact Reward Headquarters for more information with respect to point purchase options.

  4. The number of Reward Points required to redeem any Reward may be increased, any Reward may be withdrawn, and restrictions on any Reward or Reward Redemption may be imposed at any time.

  5. HYSECURITY Gate, Inc. reserves the right to correct any benefit, value, discount, misprint, or any offer offered in error. In the event HYSECURITY improperly denies a benefit, HYSECURITY Gate, Inc.’s liability is limited to the proper posting of such benefit.

V. DELIVERY AND RETURN OF REWARDS:
  1. Rewards cannot be delivered to any form of a P.O. Box or other non-registered address. Rewards will be shipped via ground to the Participant's registered address, within the continental USA. Special arrangements will be made for shipments outside the Contiguous U.S. and could incur additional costs.

  2. All rewards offered are subject to availability. Participant will be notified if the reward ordered is not available, and when it will become available. Reward Headquarters reserves the right to substitute a similar reward at its discretion.

  3. Please allow up to 4 to 6 weeks for delivery of rewards. In some cases, delivery may, with or without notice, require additional time.

  4. Redeemed Reward Points are not refundable or transferable for cash, other rewards or Reward Points under any circumstance, except as, when and if the reward received is damaged or is not the correct reward redeemed. Please contact Reward Headquarters to arrange for return or exchange. Participant must notify Reward Headquarters within 14 calendar days after delivery of a reward of Participant’s intent to return a reward; otherwise Participant assumes total responsibility for Participant’s reward.

  5. Return Instructions: In the event of return, any new, unopened and unused reward is to be shipped in its original packaging with all original labeling attached, together with all items included with the reward such as batteries, cables, remote controls, etc. Reward Headquarters will provide the address for reward return. Reward Headquarters will pay shipping costs for return of damaged or incorrect rewards. Upon receipt and evaluation of the returned reward, a replacement reward will be shipped to Participant. Participant is responsible for shipping costs on returns for any other reason.

  6. Participant assumes full responsibility and does waive any claim against HYSECURITY Gate, Inc. with respect to late, lost, and/or misdirected mail with the exception of rewards shipped, which will be tracked by Reward Headquarters.

  7. Event ticketing is non-refundable and non-transferable. HYSECURITY Gate, Inc. and Program are not responsible for lost or stolen event tickets.

  8. In addition to any rules or regulations set forth hereunder, at all times rewards remain subject to rules, regulations, agreements, restrictions and other limitations which are set forth by any third-party provider, vendor, servicer, manufacturer, hospitality management, location or otherwise.

VI. GENERAL:
  1. HYSECURITY reserves the right to terminate the Program at any time by providing written notice of the conclusion of the program earnings period. Participants will be notified of the conclusion and will cease to earn Reward Points after 90 days and will have an additional 3 months after the conclusion of the earnings period to redeem their Reward Points, after which all points will expire.
  2. HYSECURITY reserves the right to deactivate or close a Program account under the following circumstances:
    • Fraudulent activity occurs

    • A Participant requests an account closure

    • A Participant is deceased

    • A Participant does not respond to repeated communication attempts regarding the status of his/her account after 12 consecutive months of inactivity.

    • A Participant resides in or relocates to a country where membership is prohibited under applicable law

    • A Participant violates these Official Rules.

  3. HYSECURITY Gate, Inc. reserves the right to discontinue participation privileges and/or void all or a portion of a Participant’s Reward Point balance if the points have been issued, received or redeemed through computer error, fraud, mistake, or theft, and/or through illegal means or in a manner not authorized in these Official Rules.

  4. Participant receiving $600.00 or more in rewards within one calendar year are subject to taxation via IRS Form 1099. Participant must provide their corporate tax ID number in order to be exempt from receiving a 1099 form.

  5. Program Rewards or Points earned through participating in the Program may be subject to tax liability. Any tax liability, including disclosure, connected with the receipt or use of Rewards Program Rewards is the sole responsibility of the Participant.

  6. The Program is made available by HYSECURITY Gate, Inc. at its sole discretion. In the event of any dispute relating to Reward Points, redemption of Reward Points or other aspects of the Program, the decision of HYSECURITY Gate, Inc. and Augeo Marketing shall be final with respect to the Program or any Participant.

  7. Our waiver of any violation of these Program Official Rules will not be a waiver of any preceding or subsequent violation hereof. These Program Official Rules constitute the entire understanding with respect to the subject matter hereof, and shall supersede any and all communications, negotiations, correspondence, course of dealings and other agreements regarding such subject matter.

  8. All brand and product names are trademarks of their respective companies.

  9. The Site is created and controlled by Augeo Marketing of St. Paul MN, USA, whose laws govern the terms and conditions of this Site, without giving effect to any principles of conflicts of laws. The user agrees that any dispute arising in connection with this Site and the Program will be adjudicated in the State of Minnesota, under Minnesota law.

  10. THIS SITE IS MADE AVAILABLE TO ANY AND ALL USERS ON AN AS-NEEDED BASIS.

    HYSECURITY Gate, Inc. AND AUGEO MARKETING DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER IS EFFECTIVE TO THE FULL EXTENT PERMITTED BY LAW, WHERE APPLICABLE. HYSECURITY Gate, Inc. AND AUGEO AND THEIR RESPECTIVE PARENT, AFFILIATE, AND SUBSIDIARY ORGANIZATIONS AND THE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES OF EACH, SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL OR INDIRECT DAMAGES INCURRED BY ANY USERS OF THIS SITE UNDER ANY LEGAL THEORY. HYSECURITY Gate, Inc. AND AUGEO’S MAXIMUM LIABILITY TO ANY USER OF THIS SITE FOR DIRECT DAMAGES UNDER ANY LEGAL THEORY SHALL BE LIMITED TO TWENTY-FIVE DOLLARS ($25.00).

    TO THE FULLEST EXTENT ALLOWABLE BY LAW, HYSECURITY Gate, Inc. AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, JOINT VENTURERS, OFFICERS, DIRECTORS, EMPLOYEES, AND SHAREHOLDERS SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS AND/OR SERVICES OFFERED BY ANY REWARDS PARTNER OR THIRD PARTY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

  11. Privacy Policy.

    HYSECURITY Gate, Inc. and Augeo Marketing collect information from you when you log into the Site. You may be asked to enter your name, phone number, e-mail address, and mailing address. Any of the information we collect from you may be used in one of the following ways:
    • To personalize  your experience.
    • To improve customer service. Your information helps us to more effectively respond to your customer service requests, process rewards, and support needs.
    • To send periodic Program emails. The email address you provide may be used to send you information, respond to inquiries, and/or other requests or questions.
    • As we believe to be necessary or appropriate: (a) under applicable law; (b) to comply with legal process; (c) to respond to requests from public and government authorities; (d) to enforce our terms and conditions; (e) to protect our rights, privacy, safety or property; and (f) to allow us to pursue available remedies or limit the damages that we may sustain.

  12. We implement a variety of security measures to maintain the safety of your personal information when you enter, submit, or access your personal information. We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information. We may release your information when we believe release is appropriate to comply with the law, enforce our site policies, or protect others or our rights, property, or safety. By using our site, you consent to the Site’s privacy policy. If we decide to change our privacy policy, we will post those changes on this page.     Your California Privacy Rights

    Under California Law, California residents have the right to request in writing from businesses with whom they have an established business relationship, (a) a list of services provided to the customer, that a business has disclosed to third parties (including affiliates that are separate legal entities) during the immediately preceding calendar year for the third parties’ direct marketing purposes and (b) the names and addresses of all such third parties. To request the above information, please contact HySecurity at securerewards@hysecurity.com. HySecurity will respond to these requests within thirty (30) days. Requests that come by any other means may result in a delayed response.

  13. HYSECURITY Gate, Inc. and Augeo Marketing have the sole discretion to interpret and apply the Program Rules, and all questions or disputes regarding these Program Rules will be resolved by HYSECURITY and Augeo Marketing at their sole discretion.

  14. Each participant must maintain a unique user name and password account. Participants may not maintain more than one account.

  15. All Participants consent to receive promotion, transaction, and other e-mails from HYSECURITY Gate, Inc.

  16. By participating, you agree that (1) any and all disputes, claims, and causes of action arising out of or connected with the Program, or any benefits claims or awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and shall not include any punitive, consequential, or other damages, but in no event attorneys' fees; and (3) under no circumstances will anyone be permitted to obtain any award for, and you hereby waive all rights to claim punitive, incidental, or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All participants waive all rights to trial in any action or proceeding instituted in connection with these Official Rules or the Program. Any controversy or claim arising out of or relating to these Official Rules or the program shall be settled by binding arbitration. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party.


These Official Rules constitute the entire agreement between Participants and HYSECURITY Gate, Inc. pertaining to the subject matter hereof and supersede all prior or other arrangements, understandings, negotiations and discussions, whether oral or written. No waiver of any of the provisions of these Official Rules shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall waiver constitute a continuing waiver unless otherwise expressly provided. If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Rules, which will otherwise remain in full force and effect.

Participant hereby acknowledges Participant has read, understands and agrees to be bound by all the foregoing Official Rules.
